Proposal Validity
Proposals are valid for 30 days from the date issued unless otherwise indicated. If not accepted within this timeframe, we reserve the right to revise and resubmit the proposal.
Fees and Additional Costs
Unless expressly included in the Agreement:
- Third-party costs are billed separately
- Approved expenses may be invoiced at cost
- Clients are responsible for applicable taxes related to the services
Payment Terms
Invoices are payable within five (5) days of issuance unless otherwise agreed in writing. Payment schedules may follow milestone-based arrangements defined in the Agreement.
Failure to make timely payments may result in suspension of services.
Changes to Scope
All change requests must be submitted in writing.
Minor adjustments that do not significantly affect timeline or cost may be accommodated within the existing Agreement. Major changes require a revised or supplemental Agreement.
Unless otherwise stated, change-related proposals must be accepted within fourteen (14) working days.
Delays
Delays caused by client actions, including late approvals or missing materials, may extend timelines accordingly.
If delays occur on our side, we will communicate revised timelines promptly.
Events beyond reasonable control may result in schedule adjustments and are not considered a breach.
Review and Acceptance
We conduct internal reviews before delivering work.
Clients are expected to review deliverables within seven (7) working days and provide feedback. Reasonable revisions will be addressed in line with the agreed scope.
Client Responsibilities
Clients are responsible for:
- Providing lawful and accurate materials
- Supplying content in a ready-to-use format
- Approving deliverables in a timely manner
- Making decisions regarding third-party services where applicable
Unless otherwise agreed, final proofreading and approval remain the client’s responsibility.
Portfolio and Attribution
Unless agreed otherwise in writing, ecommercesupportteam.com may reference completed work in its portfolio. Attribution may include a factual project description.
Neither party shall unreasonably withhold permission for factual references.
Confidentiality
Both parties agree to protect confidential information and not disclose it to unauthorized third parties.
Confidential information does not include information already publicly available or lawfully obtained from other sources.
Independent Contractor Status
The relationship between ecommercesupportteam.com and the client is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
We may use subcontractors where appropriate while remaining responsible for overall service delivery.
Limitation of Liability
To the extent permitted by applicable law, services are provided on an “as is” basis.
Our total liability for any claim related to services shall not exceed the amount paid for the specific services giving rise to the claim.
Intellectual Property
Upon full payment, clients receive a non-exclusive, perpetual, worldwide license to use the Final Deliverables as agreed.
Company Tools and internal methodologies remain the property of ecommercesupportteam.com unless explicitly transferred in writing.
Support Services
Ongoing support is provided only if defined in the Agreement. Additional support may incur separate fees.
Support or warranty obligations may be void if deliverables are modified by third parties without our involvement.
Updates to Terms
We may revise these Terms and Conditions from time to time. The latest version will be posted on ecommercesupportteam.com. Continued use of the website or services indicates acceptance of the updated terms.
